Institutional shareholders, financial journalists and NGOs are only some of the most important stakeholder groups that increasingly have an interest in learning more about companies’ corporate governance structures. This is also increasingly formalized for example by international disclosure standards which put corporate governance at the heart of sustainability strategies. Corporate representatives dealing with stakeholders need to be ready to answer governance questions and put their own governance structures in context with their corporate strategy. The crux with corporate governance is that there is no one-size-fits-all approach and thus often not a simple fix to every problem. What is needed are individual, company-specific, and strategically consistent solutions. In this course, we establish a sound understanding of the key elements of corporate governance, how they are intertwined and how external views on a company’s governance frameworks are evolving.
